'The Supervisory Board's conditions for approval of the corporate transaction': The thesis examines the scope and significance of the supervisory board's right to reserve approval pursuant to Section 111(4) sentence 2 of the German Stock Corporation Act (AktG) in corporate transactions. It considers typical phases and agreements such as letters of intent, due diligence, SPA and acquisition financing and analyses these in relation to approval requirements. The study reveals gaps in current governance, proposes countermeasures, and concludes with a comparison with English law.
